Course Description

　The aim of this course is for students to understand fundamental aspects of Corporate Law and learn the basic knowledge of them. In “Corporation Law II”, we mainly deal with provisions of Companies Act related to corporate finance, disclosure, M&A (Merger & Acquisition) and organizational restructuring.
　The topics are as follows: Stock Issuance; Stock Option; Incorporation; Accounting Principles; Disclosure; Restriction on Dividends; Organizational Restructuring; M&A; Membership Companies; Dissolution and Liquidation of the Company; Stock and Corporate Valuation; etc.
