Course Description

 The aim of this course is for students who are not familiar with laws to understand fundamental aspects of Corporate Law and learn the basic knowledge of them. In “Corporation Law I”, we mainly deal with general provisions of Companies Act, and legal issues concerning corporate governance.
 The topics are as follows: Introduction for Civil Laws; Fundamental Features of Stock Company; General Provisions of Companies Act; Functions of Juridical Personality; Shareholder’s Rights and Duties; Shareholders Meeting; Organs; Authorities, Duties and Liabilities of Officers; Operation of the Company with Board of Directors; Other Topics Concerning Corporate Governance in Recent Times; etc.
